Sell the asset or the company?
The structure chosen for a hotel transaction can have major tax, financial and operational consequences for both the owner and the investor. Selling the asset is a direct transaction on the property, but the selling company is taxed on the gain; selling the company may be more tax-efficient depending on the structure, but requires broader due diligence. For the investor, buying the asset allows buildings and installations (not land) to be depreciated; buying the shares keeps the structure but takes on its history. Indicative information: not tax, legal or financial advice.
